Juggervault supplies digital capital-market rails for the partner's offer. The partner keeps prospectus, regulatory path, and capital raise. Investors settle into a Juggervault registered account. Juggervault is not a licensed capital-market intermediary.

Infrastructure only. Not a licensed capital-market intermediary. Not an offer of securities. Live offerings require an appointed licensed partner. Units represent economic rights in the offering vehicle or contracted cash flows, not physical energy delivery or legal title to land.

Package A: Rails only

Technology and registry for a licensed house that brings its own capital raise.

Scope

  • Issuer company onboarding and business verification
  • Licensed partner disclosure
  • Dual approval, launch of project shares, investor registration, and primary subscription
  • Bank settlement (default) or account-balance settlement
  • Holdings as units and share of the project
  • Dividends and issuer buyback where the offering includes them

Commercial posture

  • Arrangement fee, and annual investor-relations fee if used
  • Placement reduced or waived; the partner brings capital
  • 1% execution fee unless waived in the engagement letter
  • No Juggervault broker share unless distribution is later activated

Package B: Rails and distribution

Package A plus Juggervault, broker, and partner distribution into the primary sale.

Scope

  • Everything in Package A
  • Shareable listing links, broker referral, and partner distribution into primary subscription

Commercial posture

  • Arrangement plus placement (standard 2%, band 2% to 4%)
  • 1% execution fee on completed primary purchases
  • Broker share of execution when a purchase is originated through distribution

How to run a rails-only engagement

  1. Qualify: the partner owns offer management and capital raise; Juggervault owns software, registry, and subscription mechanics.
  2. Contract Package A (placement waived or reduced; distribution off by default; optional upgrade to Package B).
  3. Onboard the issuer company: issuing access, business verification, licensed partner, offering package, dual approval, open primary.
  4. Keep Juggervault broker links and partner distribution keys off unless the partner asks to activate Package B. The listing may be share-controlled for the partner's own raise.
  5. Non-negotiable: one investor, one Juggervault profile, one registered account. The platform re-verifies identity. Dual approval remains.
