Regulatory alignment
How Juggervault engages with regulators, protects personal data, and works through licensed partners who control each offering.
SEC ARIP engagement
Juggervault is engaging with the Securities and Exchange Commission, Nigeria, under its Accelerated Regulatory Incubation Programme (ARIP).
Participation in the programme is not a registration or a licence. Juggervault does not hold itself out as a registered capital market operator.
Data protection: NDPC In View
Juggervault's registration with the Nigeria Data Protection Commission is in progress.
Personal data collected for identity and business verification is used for onboarding and compliance review.
Licensed partner model
Each offering on the platform must name the licensed Issuing House or Finance House that controls it. IPO and Corporate Bond offerings are controlled by a licensed Issuing House. Project Financing offerings are controlled by a licensed Finance House.
Juggervault provides issuance, settlement, and holdings infrastructure. It does not act as an issuing house or a broker.
SPV and trustee structure
For Project Financing, the Finance House appoints an issuing special purpose vehicle (SPV) and a security trustee, and both are named on the offering. Subscription consideration goes to that vehicle under the offering documents. The trustee holds SPV assets for unit holders as those documents describe.
For IPO and Corporate Bond offerings, the Issuing House settles vehicle and trustee particulars on its side.
Custody of cash and units
Cash and units on a Juggervault account are held in a segregated platform custody account managed by Juggervault Finance. They are not held by a bank and are not covered by deposit insurance.
